These Terms govern your use of NDAshield (the "Service") operated by NDA SHIELD ("Operator", "we", "us"), based in Poland. By creating an account or using the Service, you agree to these Terms and our Privacy Policy.
1. Service description
NDAshield provides software that uses artificial intelligence to highlight patterns and risks in confidentiality agreements and similar contracts. The Service is an informational tool for business users and consumers. It does not replace professional legal counsel.
2. No legal advice
Outputs (scores, summaries, redlines, email snippets) are generated algorithmically and are not legal advice. NDA SHIELD is not a law firm and does not form an attorney-client relationship with you. You are solely responsible for decisions you make based on any output.
3. Eligibility and account
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter a binding contract. You are responsible for safeguarding your login credentials and for all activity under your account. We may suspend or terminate accounts that violate these Terms or applicable law.
4. Your content and licence
You retain ownership of documents you upload. You grant us a limited licence to process that content solely to provide the Service (including sending text to configured AI providers as described in the Privacy Policy). You represent that you have the right to upload and analyze each document and that doing so does not violate any third-party rights or confidentiality obligations owed to others without proper authority. We apply automated pattern checks on uploads (for example embedded scripts in PDFs); we do not guarantee that every malicious file will be detected. You are responsible for scanning files on your own systems before upload where your risk requires it.
5. Acceptable use
- No unlawful, fraudulent, or abusive use.
- No attempts to bypass credit limits, authentication, or rate limits.
- No malware, scraping at scale, or reverse engineering except where law permits.
- No processing of data you are not authorized to handle.
6. Payments, credits, and subscriptions
Paid features are billed through Stripe. Prices are shown at checkout (including applicable taxes where required). Credits are consumed when an analysis run completes successfully. AI compute is incurred at run time; purchased credit packs are generally non-refundable except where mandatory law requires a refund. Pack credits expire 12 months after purchase; unused balance is removed at expiry. We may send reminder emails before pack credits expire.
Subscriptions renew automatically until cancelled in the Stripe Customer Portal or as otherwise described at purchase. You may cancel future renewals at any time; access to unused subscription credits typically continues until the end of the paid period unless stated otherwise at checkout.
Payment methods available at checkout (card, Link, bank transfer, BLIK, SEPA, etc.) depend on your currency selection and Stripe's rules for your country — see Stripe's checkout screen for options shown to you.
7. EU/EEA consumers — withdrawal and digital content
If you are a consumer in the European Union or European Economic Area, you may have a 14-day right of withdrawal for distance contracts. For digital services that begin immediately after purchase, you acknowledge that performance starts at your request and that your withdrawal right may be lost once delivery of the digital content or service has begun, to the extent permitted by applicable law (including Article 16(m) of Directive 2011/83/EU). 8. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that outputs are complete, correct, or suitable for any particular transaction.
Mandatory consumer rights under EU/Polish law are not affected by this section where they cannot be limited by contract.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, CONTRACT PENALTIES, OR LEGAL FEES, ARISING FROM YOUR USE OF THE SERVICE.
Our aggregate liability for any claim relating to the Service is limited to the greater of (a) amounts you paid us for the Service in the twelve (12) months before the claim or (b) EUR 50, except where liability cannot be limited under mandatory law (including Polish consumer protection law).
10. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless the Operator from claims, damages, and costs (including reasonable legal fees) arising from your uploads, your breach of these Terms, or your violation of third-party rights. This section does not apply where prohibited for consumers under mandatory EU law.
11. Intellectual property
We own the Service, branding, and underlying software. You receive a limited, non-exclusive, non-transferable licence to use the Service during an active account. Feedback you provide may be used to improve the Service without obligation to you. 12. Governing law and disputes
These Terms are governed by the laws of the Republic of Poland. Disputes shall be submitted to the courts competent for the registered office of the Operator in Poland, unless mandatory consumer protection rules require otherwise. If you are a consumer in the European Union, you benefit from mandatory provisions of the law of your country of residence where they cannot be waived by contract.
EU consumers may also use the European Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
13. Changes and termination
We may update these Terms by posting a new version with an updated date. Material changes will be communicated where required by law. You may stop using the Service at any time. We may terminate or suspend access for breach, risk, or discontinuation of the Service, subject to mandatory notice periods where applicable.
